EDEA Organisational and Management Model
In Italian legislation, the administrative liability of Legal Entities is regulated by the Legislative Decree 231/2001.
A Legal Entities may be held administrative liable when a criminal offence:
a) listed among the criminal offences’ provided for by Legislative Decree 231/2001;
b) has been committed by a person in a leading position within the Legal Entity and/or by a subordinate of his/hers;
c) has been committed in the interest or for the benefit of the Legal Entity.
Only if (i) the adoption of an Organisational and Management Model and (ii) the (simultaneous) appointment of a Supervisory Body with autonomous powers of initiative and control are proven, will Legal Entities be relieved from liability.
In the light of the above, Edea S.r.l. has adopted the Organisational and Management Model provided for by the Legislative Decree 231/2001, thus establishing a structured and organic system of procedures and control activities aimed at reducing the risk of criminal offences being committed by targeting sensitive processes and implementing procedures out of them.
Furthermore, a Supervisory Body has been appointed by Edea S.r.l. in order to oversee the effectiveness and compliance of the Model, as well as its updating.
